1. Who we are
Bankify is a product of Boon Technologies ("Boon Technologies", "we", "us", "our"), a software company registered in Zimbabwe. In these terms, "Bankify" or "the Service" means the Bankify platform, its modules, its websites at bankify.cloud and app.bankify.cloud, and its associated APIs and messaging channels.
References to "you" mean the institution that has licensed Bankify and, where the context requires, the individual users authorised to access it on that institution's behalf.
2. Acceptance of these terms
By accessing or using Bankify you agree to be bound by these terms and by our privacy policy. If you use Bankify on behalf of an institution, you confirm that you are authorised to bind that institution to these terms.
Where your institution has signed a separate written agreement with Boon Technologies covering the same subject matter, that agreement takes precedence over these terms to the extent of any conflict.
If you do not agree to these terms, do not use the Service.
3. The Service
Bankify is delivered as a hosted, multi-tenant software service. It is made up of modules — Digital Onboarding, Loan Management, Core Banking and Collection Intelligence — which are enabled per institution. The modules available to your institution are those set out in your subscription.
We may add, change or remove features over time. Where a change materially reduces functionality your institution relies on, we will give reasonable notice.
4. Accounts and access
User accounts within Bankify are created and managed by your institution's administrators. You are responsible for the accuracy of the account information you provide and for keeping it current.
- Keep account credentials confidential, and do not share a login between people
- You are responsible for all activity carried out under your accounts
- Enable the access controls appropriate to each user's role, including multi-factor authentication where your institution requires it
- Tell us promptly if you believe an account has been compromised
We may suspend or terminate an account that breaches these terms, or where we reasonably believe suspension is necessary to protect the Service or its other users.
5. Your responsibilities as a lending institution
Bankify is used to operate a regulated activity. Certain responsibilities sit with your institution and cannot be transferred to us by using our software.
- Complying with the lending, consumer-credit, data-protection and anti-money-laundering rules that apply to you in the markets where you operate
- The accuracy of loan product configuration, including interest rates, fees and terms, and the disclosures made to your borrowers
- The lawfulness and accuracy of the customer information you upload or capture, and having a lawful basis for processing it
- Reviewing automated outputs before acting on them — document checks and collections risk scores are advisory and are not decisions
- Obtaining any consents your borrowers must give, including for the messaging channels you choose to use
6. Subscription and payment
Bankify is licensed on a subscription basis. Fees, the modules included, and the billing period are set out in your subscription or in a separate written agreement. Pricing is quoted per institution; there is no public price list.
Fees are payable in advance unless agreed otherwise, and are non-refundable except where required by law or expressly stated in your agreement. We may change our fees with reasonable notice; continued use of the Service after a change takes effect constitutes acceptance of the revised fees.
We may suspend access where fees remain unpaid after we have given notice and a reasonable opportunity to pay.
7. Your data
Your institution retains ownership of the data it puts into Bankify, including customer records, loan data, uploaded documents and the content of conversations conducted through the platform. We do not acquire ownership of it.
We process that data to provide and support the Service, on your institution's instructions. In data-protection terms your institution is the controller of its customers' personal information and Boon Technologies acts as a processor. This is set out more fully in our privacy policy.
You grant us the limited rights necessary to host, transmit, back up, display and process your data for the purpose of operating the Service and providing support. We do not sell your data, and we do not use your borrowers' personal information to market to them.
On termination we will make your data available for export for a reasonable period, after which it may be deleted in accordance with our retention practices.
8. Acceptable use
You agree not to use Bankify:
- In any way that breaches applicable law or regulation
- To send unsolicited commercial messages, or to contact individuals who have opted out
- To attempt to gain unauthorised access to our systems, or to another institution's data
- To interfere with, disrupt or place unreasonable load on the Service
- To harass, abuse or harm any person
- To submit information you know to be false or misleading
- To reverse engineer, resell or provide the Service to a third party except as expressly permitted in your agreement
9. Availability and support
We aim to keep Bankify available and performing well, and we carry out maintenance in a way that minimises disruption. We do not guarantee uninterrupted or error-free operation.
Any specific availability commitment or support response time applies only where it is stated in your institution's written agreement with us. Nothing on this website creates one.
10. Intellectual property
The Service, its software, its design and its documentation are and remain the property of Boon Technologies and its licensors, and are protected by copyright, trademark and other applicable laws. These terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
The Bankify and Boon Technologies names and marks may not be used without our prior written consent.
Where you give us feedback or suggestions about the Service, we may use them to improve it without obligation to you.
11. Suspension and termination
Either party may terminate a subscription in accordance with the agreement between us. We may suspend or terminate access immediately where there is a material breach of these terms, non-payment after notice, or a credible risk to the security or integrity of the Service.
On termination your right to use the Service ends. Provisions that by their nature should survive — including data ownership, intellectual property, disclaimers, limitation of liability and indemnity — continue to apply.
12. Disclaimer of warranties
Except as expressly stated in a written agreement with us, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the Service will be uninterrupted, secure or free from error, or that any particular commercial or regulatory outcome will follow from its use.
13. Limitation of liability
To the maximum extent permitted by law, Boon Technologies is not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill or anticipated saving, arising out of or in connection with the Service.
This includes, without limitation, loss arising from your use of or inability to use the Service, unauthorised access to data, interruption of transmission, or any credit or collections decision taken by your institution.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Indemnity
You agree to indemnify and hold harmless Boon Technologies, its officers, directors, employees and agents against claims, liabilities, damages, losses and reasonable expenses arising from your use of the Service, from the data you put into it, or from your breach of these terms.
15. Changes to these terms
We may modify these terms from time to time. Where a change is material we will give at least 30 days' notice before it takes effect. The "last updated" date at the top of this page always reflects the current version.
Continuing to use the Service after a change takes effect constitutes acceptance of the revised terms. If you do not accept them, stop using the Service.
16. Governing law
These terms are governed by the laws of Zimbabwe, without regard to its conflict of law provisions, and the courts of Zimbabwe have exclusive jurisdiction over any dispute arising from them.
